Job Title: Company Secretary & Legal Operations
Location: Pune, India
Job Summary:
We are seeking a highly competent, skilled, and motivated Company Secretary and Legal
Counsel to join our dynamic legal team, supporting the AIM region of Michelin Group. The
ideal candidate will have 8–12 years of experience with strong expertise in company
secretarial and corporate governance matters, along with significant exposure to legal
operations and matters. The role will primarily be responsible for ensuring robust corporate
governance and end-to-end secretarial compliance for Michelin India, while also supporting
group entities across the AIM region on governance and secretarial matters. In addition, the
candidate will support business teams on other day-to-day legal matters on a need basis, and
proactively manage legal and regulatory compliance tools and operations.
Key Responsibilities:
Company Secretarial and Governance
• Manage end-to-end company secretarial compliances for Michelin India under the
Companies Act, 2013, including maintenance of statutory registers, filings, and
corporate records.
• Lead Board, Shareholders and Committee governance processes including preparation
of agendas, board notes, minutes, resolutions, and ensuring timely coordination with
stakeholders and implementation of decisions.
• Ensure compliance with corporate governance frameworks, internal policies, and
global guidelines, including Code of Ethics and delegation frameworks.
• Coordinate with external advisors, auditors, and regulators for corporate secretarial
matters, including ROC filings and regulatory submissions, like POSH, etc.
• Support group entities in the AIM region on corporate governance, board processes,
and secretarial compliance requirements, as required.
• Drive standardization and improvement of governance documentation, processes, and
templates in alignment with global practices.
Legal Operations and Compliance Management
• Manage legal and compliance obligations through compliance management tools,
ensuring tracking, monitoring, and timely closure of all actions.
• Maintain contract lifecycle and legal documentation through document management
systems ensuring version control and accessibility.
• Support implementation of legal tech initiatives and generation of dashboards/reports
for legal operations.
Legal support and advisory (on a need basis)
• Draft, review, and negotiate a broad range of commercial contracts.
• Provide clear, practical, and business-oriented legal advice to stakeholders on
contractual rights, obligations, liabilities, and risk mitigation strategies.
• Support pre-litigation and dispute management activities, including drafting legal
notices, replies, and coordinating with external counsel.
• Manage and monitor litigation matters, including tracking case progress, coordinating
with external counsel, and supporting strategy and documentation for court and
arbitration proceedings.
• Advise stakeholders on legal risks and mitigation strategies across business operations,
contracts, and transactions to minimize exposure.
• Conduct legal research and provide advisory support on corporate, commercial,
employment, and regulatory matters.
• Stay updated on legal developments and proactively advise business teams.
Technical Skills
• Proficiency in legal tech tools including CLM and compliance management systems.
• Experience with document management systems and governance tools.
• Strong analytical and reporting capabilities.

• Ability to manage multiple priorities in a dynamic environment.
Qualifications
• Qualified Company Secretary (ICSI membership mandatory).
• A bachelor’s degree in law from a reputed law school or university. A master’s degree
in law is preferred but not mandatory.
• Admission to the bar in at least one jurisdiction in India.
• 8-12 years of relevant experience in legal and secretarial roles.
• Demonstrated experience in a similar role within a corporate legal department, with a
strong understanding of corporate governance/secretarial and legal affairs.
• Certifications in corporate/business law, secretarial compliance, or related fields are
highly desirable.
